Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PrimeVitas AI API, website, and related services (collectively, the "Service") provided by PrimeVitas AI ("PrimeVitas," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

PrimeVitas provides a proprietary, deterministic AI verification API that independently validates AI-generated outputs across legal, medical, financial, and autonomous vehicle domains. The Service returns PASS, FAIL, or WARNING verdicts with supporting detail and an audit trail.

The Service is a verification tool, not a substitute for professional judgment. Verification results do not constitute legal advice, medical advice, financial advice, or engineering certification. Always apply appropriate professional oversight to decisions in regulated domains.

2. Account Registration

Access to the Service requires an API key issued upon registration. You are responsible for keeping your API key confidential and for all activity that occurs under your key. Notify us immediately at access@primevitas.ai if you believe your key has been compromised.

3. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to process data you do not have the right to submit
• Attempt to reverse-engineer, decompile, or extract the underlying verification logic, rules, or data sources
• Use the Service to build a competing product or service
• Resell or sublicense API access without a written Platform agreement
• Attempt to circumvent rate limits, authentication, or usage quotas
• Submit malicious or deliberately corrupted inputs intended to probe system behavior
• Use the Service in any manner that violates applicable law or regulation

4. Plans, Billing, and Cancellation

The Service is offered under subscription plans with monthly verification limits. Plan details and pricing are available at primevitas.ai/#pricing. Billing is monthly in advance. Annual billing is available at a 20% discount.

• Usage limits — Each plan includes a monthly document limit. At 80% of your limit, you will receive a warning. At 100%, new verification requests will return HTTP 402 until your plan resets or you upgrade.
• Upgrades — Plan upgrades take effect immediately and are prorated.
• Cancellation — You may cancel at any time. Access continues through the end of your paid billing period. No refunds are issued for unused time on monthly plans.
• Free trial — All plans include a 14-day free trial. No credit card is required to start a trial.

5. Intellectual Property

The Service, including all verification logic, data sources, rule sets, and underlying systems, is proprietary to PrimeVitas AI and protected as a trade secret. Nothing in these Terms grants you any right to the underlying technology. You retain all ownership of the documents and data you submit for verification.

6. Confidentiality

Each party agrees to keep confidential any non-public information of the other party disclosed in connection with the Service, and not to disclose such information to third parties without prior written consent.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. PRIMEVITAS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT VERIFICATION RESULTS WILL BE COMPLETE, ACCURATE, OR FIT FOR ANY PARTICULAR PURPOSE. YOU USE THE SERVICE AT YOUR OWN RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIMEVITAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless PrimeVitas and its officers, directors, employees, and agents from any claims, losses, or damages arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in Delaware. You waive any right to participate in a class action.

11. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or in-product notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
